Terms and Conditions of Use

 

Definitions:

  1. Administrator – Poznań University of Life Sciences, seated at: Poznań, ul. Wojska Polskiego 28, 60-637 Poznań, NIP 777 00 04 960, REGON 000001844.
  2. Data – all information and materials posted by Users or the Administrator.
  3. Registration form – an electronic form available at the Portal website (www.inncompuls.com) in the Registration tab. The User gains access to the portal functionalities after the form has been correctly filled and verified by the Administrator.
  4. Account – User’s profile created on the basis of the Registration Form.
  5. Portal - the InnCOM_PULS portal, which is a platform supporting the processes of commercialisation of innovative technologies by enabling online technology transfer between scientific entities and entrepreneurs via the Portal.
  6. Regulations - these terms, scope and conditions of using the Portal at www.inncompuls.com.
  7. User – a scientific entity (entity offering technology) or an entrepreneur (potential technology purchaser) who gained access to the Portal functionalities after creating an Account as well as other natural and legal persons using the available contents of the Portal without an Account.

Aim of portal

  1. The aim of the Portal is to enable Users to:

1.1.        place technological offers intended for commercialisation,

1.2.        search for technologies offered by scientific entities,

1.3.        create a technology portfolio,

1.4.        memorise technology transfers,

1.5.        post examples of good commercialisation and implementation practices,

1.6.        create a good practice portfolio with technology transfers,

1.7.        search for examples of good practices concerning the commercialisation of R&D results,

1.8.        ask experts questions about the commercialisation and implementation of new technologies,

1.9.        add new venture funds,

1.10.     search for venture funds,

1.11.     browse the database of available venture funds,

1.12.     memorise viewed venture funds,

1.13.     fill in annual benchmarking questionnaires concerning the operation of technology transfer centres at universities, including a reporting module, and to compare data and results,

1.14.     use teaching and training materials and publications.

General terms of the Portal

  1. The Administrator is the Portal owner.
  2. The Portal must not be used in any other way than specified in these Terms and Conditions.
  3. The Data contained in the Portal are protected by the provisions of the Database Protection Act of 27 July 2001 and the Copyright and Related Rights Act of 4 February 1994.
  4. The rules of processing, security and protection of Users’ personal data in the Portal are regulated by these Terms and Conditions.
  5. The Portal functionalities can be used free of charge.
  6. Users must abide by the current law, social standards and provisions of these Terms and Conditions when using the Portal.
  7. Users must not post Data with unlawful content that violates the rights of third parties, is contrary to social standards, offensive or contrary to the provisions of these Terms and Conditions.
  8. The technological offers presented on the Portal shall not be regarded as an offer under the provisions of the Civil Code.
  9. The Administrator shall not be held responsible for the content or quality of Data posted by Portal Users or any infringement of the intellectual property rights of Users or third parties.
  10. Intellectual property rights, including industrial property rights and proprietary copyrights to the data posted by Portal Users, are vested in Users or other authorised persons.
  11. Posting Data by Portal Users shall not be regarded as a licence or transfer of rights to other Users or the Administrator.
  12. Using any Data posted to the Portal without a prior written consent of the authorised entity may infringe the rights of Users, the Administrator or other third parties.
  13. The Administrator shall inform Users about maintenance or service works by placing a relevant message on the Portal.
  14. The Administrator shall not be held responsible for malfunction of the Portal and interrupted access to the functionalities and Data on the Portal, including breaks due to maintenance or service works.
  15. The Portal may contain links to websites owned by third parties. The Administrator shall not be held responsible for the legal consequences of accessing these websites by Portal Users. Additionally, the Administrator shall not be held responsible for the practices of protection of the privacy, personal data or content of these websites.
  16. The Administrator shall not be held responsible for the events occurring during Users’ browsing the Portal. The Administrator notifies Users of the risks of using the Internet, especially the risk of computer viruses and data interception by third parties during transmission.
  17. The Administrator reserves the right to change these Terms and Conditions. Any change to these Terms and Conditions shall be effective since the date they have been published on the Portal. Refusal to accept changes to the Terms and Conditions will empower the Administrator to remove the User Account and data.

 

Terms of use for Portal Users

  1. Registration is required to gain full access to the Portal functionalities.
  2. Registration means the User has accepted these Terms and Conditions and is ready to abide by them.
  3. In order to register it is necessary to complete the Registration Form, the content of which is verified by the Administrator.
  4. A registered User agrees to receive information sent by the Administrator to the e-mail address provided in the Registration Form in accordance with these Terms and Conditions.
  5. The confirmation of registration on the Portal includes an activation link to the Profile and the confirmation of the login and password, which enable Users to access and use the Portal functionalities and to add Data as specified by the portal functionalities.
  6. A User Account is created after successful registration.
  7. The User is obliged to protect their login and password to prevent unauthorised access to their Account and other content on the Portal.
  8. In case of unauthorised access to the login or password by third parties, the User must inform the Administrator immediately to block their User Account.
  9. Registered Users must accept the fact that the Data they entered on the Portal will be available to other registered and unregistered Users.
  10. Registered Users may enter Data in accordance with the Portal functionalities. Each time Data are entered, they are verified by the Administrator.
  11. If the User enters incomplete Data, which are not related with the subject, purpose, and functionalities of the Portal, and which violate these Terms and Conditions, the Administrator may refuse to publish them. In this case the Administrator will contact the User to complete or verify and correct the Data. The same procedure will be applied if data are entered by an unauthorised person.
  12. The Administrator has the right to verify Users' Data also after they have been published and to make editorial corrections that do not affect the substantive content of posted Data without Users’ acceptance.
  13. The Administrator shall inform Users about the change, modification, publication or deletion of Data from the Portal by a message sent to the email address or telephone number indicated in the Registration Form.
  14. Registered Users may post materials in the form of attachments to the Portal only in places specially prepared for this purpose.
  15. Users must not post any malware to the Portal.
  16. Registered Users bear full responsibility for the actuality and legal status of the Data they post to the Portal. The Administrator shall not bear any responsibility in this respect.
  17. Registered Users transferring technology are responsible for the quality, legal status and actuality of Data and for the protection of personal data they directly exchange. The Administrator shall not bear any responsibility in this respect.
  18. The Administrator shall not be held responsible for the course of negotiations, arrangements, agreements, the result of the technology transfer process, the content of contracts concluded, for any disputes between Users or damage caused in this respect.

Administrator’s rights

  1. The Administrator shall not be held responsible for the Data posted to the Portal by Users which infringe the provisions of these Terms and Conditions, legal regulations and social standards.
  2. The Administrator has the right to access the Data posted by Users during the registration procedure, access the Data entered and publish them on the Portal.
  3. The Administrator may delete the User Account after informing the User of this fact if the data posted by the User break the law, these Terms and Conditions, social standards or if they violate the rights of third parties.
  4. The Administrator shall inform Users about deleting their Accounts or the Data they posted by sending a message to the email address indicated in the Registration Form.
  5. Deleting the User Account results in deleting all User Data from the Portal.

 

Personal data protection

  1. Following the General Data Protection Regulation of 27 April 2016 (hereinafter referred to as the GDPR), the Poznań University of Life Sciences, seated at ul. Wojska Polskiego 28, 60-637 Poznań, Poland, is the Administrator of personal data posted to the Portal by Users: contact details, name, telephone number, e-mail address, tax identification number (hereinafter referred to as ‘Personal Data’).
  2. Users’ personal data are processed:
  3. to conclude and fulfil the agreement between Users and the Administrator, based on these Terms and Conditions – Article 6 Paragraph 1. b) of the GDPR is the legal basis for personal data processing,
  4. for direct marketing (e.g. newsletters), based on the User's voluntary consent – Article 6 Paragraph 1. a) of the GDPR is the legal basis for personal data processing.
  5. The Administrator may also process Personal Data for archiving (evidencing) purposes in the legitimate interest of providing information in the event of a legal need to prove facts, and for the purpose of identification, investigation or defence against claims. Article 6 Paragraph 1. f) of the GDPR is the legal basis for personal data processing.
  6. The Data Protection Supervisor (mgr inż. Tomasz Napierała, (MSc)), appointed by the Administrator, can be contacted at: tomasz.napierala@up.poznan.pl.
  7. Providing Personal Data to conclude a contract under these Terms and Conditions is a prerequisite for Users to register and use the Portal.
  8. The personal data of Users and persons indicated by Users in the Data they entered and in the Registration Form may be shared with other entities cooperating with the Administrator, including IT system providers.
  9. The personal data of Users and persons indicated by Users in the Data they entered and in the Registration Form will be processed during the entire period of having a User Account on the Portal and for a period of 5 years following the date of deleting the User Account, unless a longer period is necessary to process the data, e.g. due to archiving obligations, the need to make claims or due to other obligations required by general law.
  10. Users and the persons whose data Users indicated in the Data they entered and in the Registration Form have the right to access their Personal Data and the right to rectify, delete, or limit data processing, the right to transfer data, and the right to raise objections. Users have the right to lodge a complaint with a competent supervisory body regarding personal data protection when they consider that the processing of personal data violates the provisions of the GDPR.
  11. If the User or the person who the User indicated in the Data they entered and in the Registration Form uses their right to remove, limit the processing or object to the processing of personal data, their Personal Data will no longer be published on the Portal.
  12. The Administrator shall store and process Portal Users’ personal data, applying the technical and organisational measures required by law so as to ensure their protection. Personal data shall be protected and secured against unauthorised access, transfer, destruction, loss, damage or change and against processing, including the acquisition and modification violating the provisions of the Personal Data Protection Act. The data shall be protected and secured in accordance with the provisions of the Personal Data Protection Act and the Administrator’s internal procedures concerning personal data protection.
  13. The Administrator shall not trade personal data or transfer them to third countries. Personal data shall not be shared with other entities except for the cases expressly indicated in these Terms and Conditions.
  14. The Administrator shall use the cookie technology to ensure the functionality of Internet services and to make analyses. An Internet cookie is information saved on the User's computer by the server, which the server can read when connecting to this computer. If the User does not wish to receive and store cookie files, they need to configure their web browser accordingly.
  15. Telecommunications data (e.g. the IP address) are collected and processed by the Administrator automatically and they cannot be linked to personal data. The IT systems supporting the Portal may automatically collect data for technical reasons (e.g. the type of the web browser or operating system used, the e-mail address or website from which Users have accessed the Portal, the website activity statistics). These data are collected only for statistical purposes and are not related to Users’ personal data.
  16. Users may express their voluntary consents when creating their User Accounts or later. They should be expressed in a way that will enable the Administrator to read and record them (e.g. via the contact form, sending a consent to the email address: inncom@up.poznan.pl).
  17. Users may withdraw their voluntary consents at any time by submitting an appropriate statement (e.g. via the contact form, sending a consent withdrawal statement to the email address: inncom@up.poznan.pl). The withdrawal of the consent does not affect the legality of personal data processing based on the consent before withdrawal.

Final provisions

The Terms and Conditions have been effective since the day of their publication on the Portal, i.e. 27 December 2018.
